As we continue to grow, we are seeking a talented and motivated individual to join our team as a Governance, Compliance & Admin Officer within our Mgubho Farming Services in Malelane.
A major focus area will be providing Company Secretarial services to Mgubho Farming Services. As an expert it supports Mgubho Farming in interpreting and complying with Group Policies and to manage board and governance processes.
Duties & Responsibilities
The Governance, Compliance & Administration Officer coordinates and leads implementation of action plans in the governance and compliance function with objectives set by Mgubho Farming Services.
This includes:
- Manage the work plan of relevant Group Companies under the guidance of the CEO in accordance with the approved TOR’s.
- Fulfil the role of Company Secretary.
- Implement and maintain a structured and organised document retention system.
- Support the implementation of the Group Compliance Program and play the role of Compliance Officer in the allocated functional team;
- Manage contract administration.
- As Company Secretary, complete routine correspondence with external stakeholders.
- In execution of these services this position liaises with RCL FOODS Legal and Group Company Secretary on legal and statutory/secretarial matters.
- Administrate and maintain Sugar JV’s filing system, both electronically and physically.
- Keeping abreast of the Procurement and Cane JV’s standards and procedures.
- Accepting legal processes (except garnishee orders) served by the Sheriff on behalf of Community-based JV’s and liaising with the Legal function to ensure that processes are implemented.
- Escalating legal and litigation matters to the Legal function, as directed by the CEO: Cane JV’s and keeping a register thereof.
- Overseeing the administrative processes associated with routing and obtaining signatures.
- Managing workflow processes for approval on all contracts before submission to the CEO: Cane JV’s for signature
- Maintaining a register and copies of all signed contracts.
- Liaising with the Group Company Secretary on the alignment of processes within the Community-based JV’s.
- Providing Company Secretariat services and advice to the JV’s
- Assisting and formalizing Board and Board/Committee Papers for the JV’s.
- Compilation and distribution of meeting minutes
- Review of Governance related documentation - Board Charters, Work plans, Terms of Reference, Levels of Authority and policies.
- Attend to all logistics pre and post meetings.
- Liaising with the relevant divisions to develop Compliance Risk Management Plans (CRMP’s) for identified compliance priorities.
- Collaborating with Internal Audit and other service providers on the development and implementation of a rolling 3 year monitoring program to verify the implementation of the CRMP’s.
- Reporting compliance breaches to the CEO: Cane JV’s on a regular basis.
- Preparing or reviewing lease agreements and termination letters for the Cane: JV’s.
- Preparing correspondence relating to the rental scheme.
- Maintain register and records of all leases/sub-leases.
Minimum Requirements
- Relevant administrative and legal qualification is essential, particularly knowledge of King Codes and Companies Act.
- Compliance management certificate or similar certification.
- 5-8 years relevant work experience.
- Governance and compliance experience in an agricultural environment will be a distinct advantage.
- Must have a valid driver’s licence.
- Ability to work independently.
- Contract management and negotiation experience is crucial.
- Results driven with sense of urgency.
- Experience in the regulatory environment.
- Good interpersonal and communication skills.
- Computer literacy.
- Working knowledge of corporate process is important.
